Digital Product Licence Agreement
Atlas Ready — Digital Product Licence Agreement
Effective date: 4 September 2026
1. Purpose and Scope
This Digital Product Licence Agreement ("Agreement") sets out the rights and restrictions applying to digital products purchased from Atlas Ready.
It applies to digital resources supplied by Atlas Ready, including:
- policies and procedures;
- registers;
- forms;
- checklists;
- guides;
- workbooks;
- planners;
- implementation resources;
- audit-preparation resources;
- editable templates;
- resource packages; and
- other digital materials,
unless a particular Product expressly states that different licence terms apply.
This Agreement should be read together with the Atlas Ready Terms of Service and other applicable legal policies.
By purchasing, downloading, accessing or using an Atlas Ready Product, the Customer agrees to comply with this Agreement.
2. Definitions
For the purposes of this Agreement:
"Atlas Ready", "we", "us" or "our" means Atlas Ready.
"Customer", "you" or "your" means the person or organisation purchasing, accessing or using the Product.
"Product" or "Products" means a digital resource, template, document, package or other digital material supplied by Atlas Ready.
"Licensed Organisation" means the organisation for which the Product was purchased and which is identified during checkout, through the Customer's order information or otherwise confirmed by Atlas Ready.
"Licence" means the limited right granted under this Agreement to use a Product in accordance with its terms.
3. Licence Grant
Subject to successful payment and compliance with this Agreement, Atlas Ready grants the Customer a limited, non-exclusive, non-transferable licence to use the purchased Product for the internal business purposes of the Licensed Organisation.
The Licence provides a right to use and customise the Product in accordance with this Agreement.
Purchasing a Product does not constitute a sale or transfer of copyright or ownership of Atlas Ready's underlying intellectual property.
Unless otherwise stated, the Licence is granted to the Licensed Organisation rather than separately to each individual worker within that organisation.
4. Permitted Use
The Customer may:
- download and store the Product for the Licensed Organisation;
- make reasonable backup copies for legitimate internal purposes;
- edit, adapt and customise the Product for the Licensed Organisation's operations;
- insert the Licensed Organisation's name, logo and organisational information;
- modify operational templates so they accurately reflect the Licensed Organisation's services, systems, responsibilities and practices;
- print copies where reasonably necessary for internal organisational use;
- provide relevant resources to workers, officers, contractors and professional advisers where they require access to perform a legitimate role for the Licensed Organisation;
- incorporate appropriately customised resources into the Licensed Organisation's own policies, procedures and operational systems; and
- use customised and implemented resources, completed forms, registers, records and related materials as part of the Licensed Organisation's internal compliance systems and audit evidence.
The purpose of the Licence is to allow the Licensed Organisation to genuinely implement the purchased resources within its own operations.
5. Operational Templates
Some Atlas Ready Products are specifically designed to be customised and adopted by the Licensed Organisation as its own operational documents.
These may include policies, procedures, registers, forms, checklists and other implementation resources.
The Licensed Organisation may:
- replace placeholders with organisation-specific information;
- insert its own branding;
- modify roles and responsibilities;
- adapt procedures and operational content;
- add organisation-specific requirements;
- remove content that does not apply where appropriate; and
- otherwise customise the resource for legitimate internal implementation.
Once customised, the Licensed Organisation may use those documents as part of its own organisational systems.
However, customisation does not transfer ownership of Atlas Ready's underlying template or original intellectual property.
6. Organisation-Wide Internal Use
The Licence permits reasonable internal use throughout the Licensed Organisation.
The Customer may provide relevant copies of Products to:
- owners and directors;
- management;
- employees;
- workers;
- contractors;
- consultants; and
- professional advisers,
where access is reasonably necessary for those persons to perform legitimate work for the Licensed Organisation.
For example, the Licensed Organisation may provide a policy to its workers for training and implementation or provide relevant documentation to an auditor or professional adviser where reasonably necessary for the organisation's legitimate operations.
Internal organisational use does not permit independent use of the Product by another business or organisation.
7. Providing Resources to Auditors and Regulators
The Licensed Organisation may provide appropriately customised organisational documents, records or other relevant resources to:
- approved quality auditors;
- the NDIS Quality and Safeguards Commission;
- other government or regulatory bodies;
- professional advisers; or
- other parties,
where reasonably necessary for registration, audit, compliance, legal or legitimate organisational purposes.
This does not give the recipient a licence to independently use, reproduce, commercialise or redistribute Atlas Ready's underlying Products.
8. Prohibited Use
Unless Atlas Ready provides prior written permission or the use is otherwise permitted by law, the Customer must not:
- resell a Product or any substantial part of it;
- rent, lease or sublicense a Product;
- commercially redistribute a Product;
- provide an original Product or template to another organisation for that organisation's independent use;
- share a Product purchased for one organisation with a separate organisation unless that organisation is expressly covered by the Licence;
- upload Products to public websites, marketplaces, template libraries, document-sharing services, file-sharing platforms or repositories where unauthorised persons may access them;
- publish Atlas Ready's original Product library for public access;
- create or sell a competing template library, policy library, documentation package, compliance resource or similar commercial product using Atlas Ready Products or substantial parts of them;
- represent Atlas Ready's original content as independently created material for resale or commercial distribution;
- intentionally circumvent restrictions designed to protect Atlas Ready Products;
- transfer or sublicense the Licence except as permitted by this Agreement; or
- otherwise use the Product in a manner inconsistent with this Agreement or the Atlas Ready Terms of Service.
9. Multiple Businesses, Entities and Provider Registrations
Unless Atlas Ready expressly agrees otherwise in writing, a Product purchased for one Licensed Organisation is licensed for that organisation only.
Where a Customer operates multiple legally or operationally separate:
- businesses;
- companies;
- entities;
- organisations; or
- NDIS provider registrations,
a separate Licence may be required for each organisation.
A group of related businesses or entities is not automatically treated as one Licensed Organisation merely because the entities have common ownership, management or personnel.
Customers requiring use across multiple organisations may contact Atlas Ready to discuss appropriate licensing arrangements.
10. Customisation and Customer Content
The Customer may add, remove or modify content to make a Product appropriate for the Licensed Organisation.
The Customer remains responsible for the accuracy, appropriateness and legality of any information or content it adds, removes or changes.
Customisation does not transfer ownership of Atlas Ready's original:
- templates;
- structures;
- wording;
- resource arrangements;
- graphics;
- designs; or
- other intellectual property
to the Customer.
The Customer retains responsibility for and any applicable rights in original organisation-specific content it independently creates and adds to the Product, subject to applicable third-party rights.
11. Intellectual Property
Atlas Ready retains its ownership rights in original intellectual property contained in its Products, subject to any rights belonging to third parties.
The Customer does not acquire ownership of Atlas Ready's underlying templates, document structures, original wording, resource arrangements, branding, graphics or other proprietary material merely because the Customer has purchased, downloaded, customised or implemented a Product.
The Licence granted under this Agreement is permission to use the Product in the manner described in this Agreement.
Further information is contained in the Atlas Ready Copyright & Intellectual Property Notice and Terms of Service.
12. NDIS, Government and Third-Party Materials
Some Products may refer to information derived from or related to:
- legislation;
- NDIS Practice Standards;
- NDIS registration requirements;
- NDIS Rules;
- government guidance;
- regulatory publications; or
- other third-party materials.
Atlas Ready does not claim ownership of underlying government or third-party materials.
Third-party material remains subject to the rights, licences and legal requirements applicable to that material.
Atlas Ready's original explanations, templates, structures, arrangements and other original contributions remain subject to Atlas Ready's intellectual property rights where applicable.
References to NDIS or government materials do not imply endorsement, accreditation or affiliation with the relevant government body or regulator.
13. No Transfer of Licence
The Licence is granted for the benefit of the Licensed Organisation and may not be sold, assigned, transferred or sublicensed to another organisation without Atlas Ready's prior written consent, except where transfer is required or permitted by law.
If ownership or control of the Licensed Organisation materially changes, the Customer may contact Atlas Ready to confirm whether the existing Licence can continue.
14. Licence Term
Unless the Product description or another written agreement expressly states otherwise, the Licence begins when payment for the Product is successfully completed.
The Licence continues while the Customer complies with this Agreement.
The Licence does not expire merely because the Customer has downloaded, customised or implemented the Product.
Atlas Ready may terminate the Licence in accordance with this Agreement where there is a material or serious breach.
15. Breach and Termination
Atlas Ready may terminate the Licence where the Customer materially breaches this Agreement and, where the breach is capable of being remedied, does not remedy the breach within a reasonable period after being requested to do so.
Where serious misuse occurs, including intentional commercial redistribution, unauthorised resale or deliberate public distribution of Products, Atlas Ready may terminate the Licence immediately to the extent permitted by law.
Following termination, the Customer must cease unauthorised use and distribution of the Product and, where reasonably requested, delete unauthorised copies.
Termination does not require the destruction of records that must lawfully be retained.
Termination also does not remove any consumer right or other legal right that cannot lawfully be excluded.
16. Refunds and Licence Following Refund
Refunds and other remedies are handled in accordance with the Atlas Ready Return and Refund Policy and applicable law.
Where a full refund is provided and the Customer is not otherwise legally entitled to retain use of the Product, the Licence relating to the refunded Product may terminate.
In those circumstances, the Customer may be required to:
- cease using the Product;
- remove the Product from active organisational use; and
- delete copies in its possession or control,
except where retention is required by law or Atlas Ready agrees otherwise.
Nothing in this section restricts rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
17. Customer Responsibility for Implementation
Atlas Ready Products provide documentation and implementation resources.
The Customer remains responsible for:
- determining the requirements applicable to the Licensed Organisation;
- appropriately reviewing and customising Products;
- ensuring documentation reflects actual organisational practices;
- implementing organisational systems;
- maintaining registers, forms, records and evidence;
- training relevant workers;
- monitoring compliance;
- checking current regulatory requirements; and
- obtaining professional advice where appropriate.
Possessing or customising a Product does not, by itself, demonstrate that the Licensed Organisation has implemented or complied with the relevant requirement.
18. No Guarantee of NDIS or Regulatory Outcome
Atlas Ready Products are supplied as general registration-readiness and compliance resources.
Use of a Product does not guarantee:
- NDIS registration;
- successful Verification or Certification;
- successful audit outcomes;
- regulatory approval;
- approval for a particular registration group;
- acceptance of particular documentation by an auditor or regulator; or
- compliance with every requirement applicable to the Licensed Organisation.
The Customer remains responsible for appropriately customising, implementing, reviewing and maintaining its organisational systems.
19. Security of Products
The Customer must take reasonable steps to prevent unauthorised access to or distribution of Atlas Ready Products.
This may include:
- maintaining appropriate account security;
- restricting access to authorised personnel;
- securely storing downloaded Products;
- avoiding public file-sharing systems;
- controlling external access to original templates; and
- taking reasonable precautions against unauthorised copying or distribution.
The Customer is responsible for the security of Product files after they have been downloaded or otherwise supplied to the Customer.
20. Product Updates and Future Versions
Atlas Ready may update Products from time to time to reflect matters including:
- changes to NDIS requirements;
- changes to legislation or regulatory guidance;
- improvements to Product content;
- changes to business practices; or
- corrections and revisions.
Unless expressly stated as part of a particular purchase, the Licence does not automatically include future versions, revisions, updates, replacement Products or newly developed resources.
The terms of the particular Product or package will determine whether any future updates are included.
The Customer remains responsible for monitoring current requirements relevant to its organisation.
21. Technical Support
Atlas Ready may provide reasonable technical assistance in relation to accessing or downloading purchased Products.
Unless expressly included in the Product description or separately purchased, the Licence does not include:
- implementation consulting;
- legal advice;
- individual compliance advice;
- completion of registration applications;
- customisation of resources by Atlas Ready;
- audit representation; or
- ongoing advisory services.
Any additional services offered by Atlas Ready may be subject to separate terms and pricing.
22. Extended and Commercial Licensing
Customers who wish to use Atlas Ready Products outside the standard Licence may contact Atlas Ready regarding alternative licensing arrangements.
This may include requests involving:
- multiple organisations;
- group structures;
- commercial reproduction;
- redistribution;
- extended organisational use; or
- another use not permitted by this Agreement.
Requests should be directed to:
Atlas Ready may approve or decline extended licensing requests at its discretion, subject to applicable law.
23. Australian Consumer Law
Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.
Where a mandatory legal right conflicts with a provision of this Agreement, the mandatory legal right prevails to the extent of the inconsistency.
24. Relationship With Other Atlas Ready Documents
This Agreement should be read together with the Atlas Ready:
- Terms of Service;
- Return and Refund Policy;
- Privacy Policy;
- Legal Notice; and
- Copyright & Intellectual Property Notice.
If a specific Product page, written agreement or licence expressly provides different licensing terms, those specific terms apply to the extent of the inconsistency concerning that Product.
Mandatory legal rights prevail over any inconsistent contractual provision.
25. Changes to This Agreement
Atlas Ready may update this Agreement for future purchases where its Products, licensing arrangements, business practices or legal requirements change.
Changes will not retrospectively remove rights that have already accrued under applicable law.
The version applicable to a purchase will be the version applying to that purchase, subject to applicable law.
26. Governing Law
This Agreement is governed by the laws of New South Wales, Australia.
Subject to any mandatory rights available under applicable law, the parties submit to the jurisdiction of the courts of New South Wales and applicable Commonwealth courts.
