Atlas Ready — Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of the Atlas Ready website and your purchase, access and use of products supplied by Atlas Ready.

By accessing the website, placing an order, purchasing a product or using an Atlas Ready product, you agree to these Terms.

Atlas Ready is a registered business name operated by a sole trader in New South Wales, Australia.

In these Terms:

  • "Atlas Ready", "we", "us" or "our" means Atlas Ready.
  • "Customer", "you" or "your" means the person or organisation purchasing, accessing or using an Atlas Ready product.
  • "Product" or "Products" means digital policies, procedures, registers, forms, guides, checklists, workbooks, templates, implementation resources and other digital products supplied by Atlas Ready.
  • "Licensed Organisation" means the organisation for which a Product is purchased.
  • "Website" means the Atlas Ready website at atlasready.com.au and associated online services.

The version of these Terms applicable at the time of purchase applies to that purchase.

2. Our Products

Atlas Ready provides digital documentation, implementation and registration-readiness resources designed to assist prospective and existing NDIS providers with matters including registration preparation, organisational systems, compliance implementation and audit preparation.

Products may include registration planning resources, policies, procedures, registers, forms, checklists, guides, workbooks, implementation tools and audit-preparation resources.

Unless expressly stated otherwise, Atlas Ready Products are supplied electronically. No physical product will be delivered.

Products are designed to provide a structured starting point and require appropriate review, customisation and implementation by the Customer.

3. Customer Responsibility for Customisation and Implementation

Atlas Ready Products are not intended to be adopted without consideration of the Customer's individual organisation.

The Customer is responsible for:

  • determining the requirements applicable to its organisation and registration scope;
  • reviewing and appropriately customising Products;
  • ensuring organisational documentation accurately reflects actual operations, services, responsibilities and processes;
  • implementing the systems described within its documentation;
  • appropriately using and maintaining registers, forms, records and other operational resources;
  • allocating responsibilities to appropriate workers or management;
  • providing relevant training and communicating organisational requirements to workers;
  • maintaining appropriate records and evidence;
  • monitoring changes to applicable requirements; and
  • obtaining professional advice where appropriate.

Possessing policies, procedures, templates or other documentation does not, by itself, establish implementation or compliance.

4. NDIS Registration, Audit and Compliance

Atlas Ready Products are registration-readiness and compliance resources.

Purchasing, accessing or using a Product does not guarantee:

  • NDIS registration;
  • successful Verification or Certification;
  • successful completion of an audit;
  • approval of a registration application;
  • approval for any particular registration group;
  • compliance with every requirement applicable to a particular organisation; or
  • any particular decision or outcome from the NDIS Quality and Safeguards Commission, an approved quality auditor or another regulator or third party.

Registration and audit outcomes depend on matters including the Customer's registration scope, organisational circumstances, services, workforce, risks, systems, implementation, records, evidence and requirements applicable at the relevant time.

Atlas Ready is independent of the National Disability Insurance Agency and the NDIS Quality and Safeguards Commission and is not an agent, representative or authorised registration body of either organisation.

References to the NDIS, NDIS Practice Standards, registration groups or other regulatory requirements do not imply endorsement, accreditation, sponsorship or affiliation.

5. Regulatory Information and Currency

NDIS requirements, legislation, rules, standards, guidance, registration requirements and regulatory expectations may change.

Atlas Ready aims to develop and maintain useful resources with reference to relevant requirements at the time of preparation. However, Atlas Ready does not guarantee that every statement, reference, template or Product will remain current indefinitely after publication or purchase.

Customers are responsible for checking current requirements and official sources and determining whether their documentation or systems require amendment.

Unless expressly stated as part of a particular purchase, purchasing a Product does not automatically entitle the Customer to future versions, updates, revisions or replacement Products.

6. General Information and Professional Advice

Atlas Ready Products and Website content provide general business, registration-readiness and compliance information.

They do not constitute legal, accounting, financial, clinical, medical, allied health, human resources or other professional advice and are not a substitute for advice appropriate to the Customer's particular circumstances.

Customers should obtain advice from an appropriately qualified professional where required.

7. Product Descriptions and Pricing

Atlas Ready aims to keep Product descriptions, inclusions, pricing and other Website information accurate and current.

Prices are displayed in Australian dollars unless otherwise stated.

Applicable taxes, fees or charges will be identified at checkout where required.

Atlas Ready may correct genuine pricing, description, technical or administrative errors where reasonably necessary and permitted by law.

8. Orders and Payment

An order is placed when the Customer completes the checkout process and payment is successfully authorised.

Customers are responsible for providing accurate and complete information when placing an order.

Atlas Ready may decline or cancel an order where reasonably necessary, including where there is suspected fraud, payment failure, Website misuse, an obvious pricing error or another legitimate reason.

If Atlas Ready cancels an order after payment has been received, an appropriate refund or other remedy will be provided where required.

9. Digital Delivery

Atlas Ready Products are digital products unless expressly stated otherwise.

Following successful payment, Products will be made available electronically using the delivery method specified at or following checkout. This may include a download link, email, customer account or another electronic delivery method.

Customers are responsible for:

  • providing an accurate email address;
  • maintaining access to the email account used for the purchase;
  • maintaining suitable internet access; and
  • having appropriate software capable of accessing and editing the relevant files.

If a Customer does not receive a purchased Product or experiences a genuine technical problem accessing it, the Customer should contact support@atlasready.com.au.

Atlas Ready will take reasonable steps to investigate the issue and restore or otherwise provide access where appropriate.

10. Licence to Use Products

Subject to successful payment and compliance with these Terms and the Atlas Ready Digital Product Licence Agreement, Atlas Ready grants the Customer a limited, non-exclusive, non-transferable licence to use the purchased Product for the internal business purposes of the Licensed Organisation.

The Customer may:

  • download and store the Product;
  • edit, adapt and customise the Product for the Licensed Organisation;
  • print copies where reasonably necessary for internal business use;
  • provide relevant resources to employees, officers, contractors and professional advisers where reasonably necessary for their legitimate role for the Licensed Organisation; and
  • use customised and implemented resources as part of the Licensed Organisation's internal documentation, operating systems, records, compliance systems and audit evidence.

Purchasing a Product provides a licence to use the Product. It does not transfer ownership of Atlas Ready's underlying intellectual property.

11. Licence Restrictions

Unless Atlas Ready provides prior written permission or the use is otherwise permitted by law, Customers must not:

  • resell a Product or any substantial part of it;
  • rent, lease, sublicense or commercially redistribute a Product;
  • provide a Product to another organisation for that organisation's independent use;
  • upload Products to public websites, marketplaces, template libraries, document-sharing services or other repositories where unauthorised persons may access them;
  • share a Product purchased for one organisation with a separate organisation unless that organisation is expressly covered by the licence;
  • create or sell a competing template library, policy library, documentation pack or compliance product using Atlas Ready Products or substantial parts of them;
  • represent Atlas Ready's original content as independently created material for resale or commercial distribution; or
  • use Products in a manner inconsistent with these Terms or the Digital Product Licence Agreement.

Where a Customer operates multiple legally or operationally separate businesses, entities, provider registrations or organisations, a separate licence may be required for each organisation unless Atlas Ready expressly agrees otherwise in writing.

12. Intellectual Property

Unless otherwise stated, Atlas Ready owns or has the right to use the intellectual property contained in its Website and Products, including original written content, templates, document structures, resource arrangements, graphics, branding and other materials.

Purchasing or customising a Product does not transfer ownership of Atlas Ready's underlying intellectual property.

Customers may add their own organisation-specific information and original material to Products. This does not give the Customer ownership of Atlas Ready's underlying template, structure or original content.

Third-party and government materials remain subject to their respective rights and applicable laws.

Further conditions are contained in the Atlas Ready Digital Product Licence Agreement and Copyright & Intellectual Property Notice.

13. Refunds and Australian Consumer Law

Atlas Ready's separate Return and Refund Policy explains how refund and remedy requests are handled.

Because Atlas Ready primarily supplies digital products, a change-of-mind refund is not automatically available merely because a Customer has downloaded, accessed or reviewed a Product.

Atlas Ready may consider discretionary change-of-mind requests individually in accordance with its Return and Refund Policy.

Nothing in these Terms or the Return and Refund Policy excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.

Where an applicable consumer guarantee has not been met, the Customer may be entitled to a remedy depending on the circumstances and applicable law.

14. Website Use

Customers and Website users must not:

  • use the Website for unlawful, fraudulent or abusive purposes;
  • attempt to gain unauthorised access to the Website, systems, accounts or data;
  • introduce malicious code or interfere with Website security or operation;
  • use automated or other methods to improperly extract or reproduce Website content;
  • copy, reproduce or commercially exploit Website content or Atlas Ready materials except as permitted by these Terms or applicable law; or
  • use the Website in a manner that unlawfully interferes with Atlas Ready, its systems, customers or other users.

15. Website Availability and Technical Issues

Atlas Ready aims to maintain a functional and accessible Website and digital delivery system but does not guarantee uninterrupted or error-free availability.

Access may be affected by maintenance, technical problems, third-party services, internet outages, cybersecurity events or circumstances outside Atlas Ready's reasonable control.

Where a technical issue prevents a Customer from receiving a legitimately purchased Product, Atlas Ready will take reasonable steps to restore access or provide the Product through another reasonable method.

16. Third-Party Services and Links

Atlas Ready may use or provide links to third-party websites, platforms, payment processors, applications or other services.

Third-party services may be subject to their own terms, privacy policies and operating conditions.

Atlas Ready does not control third-party websites or services and is not responsible for their content, availability, security or practices except to the extent responsibility cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by law, Atlas Ready is not liable for indirect, incidental, special or consequential loss arising from use of the Website or Products.

To the maximum extent permitted by law, Atlas Ready is not responsible for loss arising solely from a Customer's failure to appropriately review, customise, implement, maintain or update a Product, or from reliance on a Product without considering the Customer's particular circumstances and current applicable requirements.

Nothing in these Terms excludes, restricts or modifies liability, consumer guarantees, rights or remedies where doing so would be unlawful, including under the Australian Consumer Law.

18. Customer Responsibility for Misuse

To the extent permitted by law, Customers are responsible for their use of Atlas Ready Products and for ensuring their implementation is appropriate for their organisation.

Customers are responsible for loss resulting from their unlawful use or distribution of Products or material breach of these Terms, except to the extent the loss was caused or contributed to by Atlas Ready or where responsibility cannot lawfully be allocated in this way.

19. Privacy

Atlas Ready handles personal information in accordance with its Privacy Policy.

The Privacy Policy explains how personal information may be collected, held, used, disclosed and protected when Customers interact with Atlas Ready, use the Website or make a purchase.

20. Complaints and Support

Questions, complaints, technical issues or concerns about a Product should be directed to:

support@atlasready.com.au

Atlas Ready will endeavour to respond within a reasonable period and investigate legitimate concerns appropriately.

21. Suspension and Termination

Atlas Ready may suspend or terminate access to an account, service or Product licence where reasonably necessary due to fraud, unlawful conduct, intentional unauthorised distribution, serious misuse or a material breach of these Terms or applicable licence conditions.

Where a breach is capable of remedy, Atlas Ready may provide a reasonable opportunity for the Customer to remedy the breach before termination where appropriate.

Termination does not affect rights or obligations that arose before termination. Provisions concerning intellectual property, licensing, consumer rights and liability continue to apply where intended.

22. Relationship With Other Atlas Ready Policies

These Terms should be read together with the applicable:

  • Privacy Policy;
  • Return and Refund Policy;
  • Website Disclaimer;
  • Digital Product Licence Agreement; and
  • Copyright & Intellectual Property Notice.

Where a specific Product expressly contains different licence terms, those specific terms apply to the extent of any inconsistency concerning that Product.

Nothing in an Atlas Ready policy or agreement overrides a mandatory right or obligation under applicable law.

23. Changes to These Terms

Atlas Ready may update these Terms from time to time to reflect changes to its Products, Website, technology, business practices or legal requirements.

The current version will be published on the Atlas Ready Website.

Changes will not retrospectively remove rights that have already accrued under applicable law.

24. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Subject to any mandatory rights available under applicable law, the parties submit to the jurisdiction of the courts of New South Wales and applicable Commonwealth courts.
